Affiliate Terms of Agreement

SADDLEBACK LEATHER COMPANY

AFFILIATE PROGRAM AGREEMENT

This agreement contains the terms and conditions for an entity's participation in Saddleback Leather Company's Affiliate program and is a binding, legal contract between "you", the Affiliate and our business, Saddleback Leather Company (hereafter referred to as "SBL").  The Affiliate Program is administered through SBL pursuant to the policies at SBL's web site, as well as this agreement.

By acceptance of this agreement, you are stating that you have read and understand the SBL's Policies that set are forth on our web site and agree to the terms set forth therein.

If you are under 18 years of age you are not permitted to be an affiliate of SBL.

You are an Independent Contractor.  NO joint venture, partnership, or other legal entity is created between you and SBL as long as you are acting as an affiliate.  Being a SBL Affiliate does not imply or constitute employment by SBL.

You agree to receive e-mail from SBL, including but not limited to, sales reports, training, promotional resources, newsletters and other correspondence.

Both you and SBL reserve the right to terminate this agreement at any time, without notice.  If terminated, outstanding commissions shall be paid in the next payment cycle, as long as the terms of this agreement were not violated by you.  Payment of the final commission payment to you may be withheld for a reasonable time in order to ensure that the correct amount of monies due SBL is paid by the customer.

LINKING

SBL will provide you with the procedures and links to ensure accurate tracking, reporting and commission accrual.  You are solely responsible for ensuring that your Affiliate Link is set up properly to have sales tracked and recorded to qualify for commissions.  SBL is not responsible for the failure to assign any sale or commission to you that is the result of improper formatting of any affiliate links.

COMMISSIONS

Commissions will be paid by SBL for any sale resulting from a click through your affiliate link.  Please refer to the Performance Fee Schedule below for exact percentages and numbers.  Commissions will be paid monthly and within 15 business days after the 1st of the following month.  Commissions will only be considered earned after an order is fully processed and paid for.  Commissions are based on the percentage of sale in effect at the time of sale.  If total commissions result in less than $15.00 within any one pay period, the commissions will be rolled over to the following pay period.

All commissions will be made in U.S. dollars.  If a sale is canceled or refunded, any paid commission will be deducted from a subsequent payment.  Affiliate commissions will not be paid based upon amounts that are attributable to credit card fraud, disputed payments, credits given to customer, bad debt right-off and returned goods.  SBL reserves the right to deduct in subsequent months, any commission paid for a product or service that is subsequently returned, disputed or refunded, or for any reason where the previous monthly commission was overpaid or later subject to reduction.

SBL will only pay commissions on sales that are tracked through our tracking system and that indicate you as the source of the visit to SBL's site.  You have no right to a commission if the buyer later returns through another Affiliate link or source to make a purchase on SBL's site.  Commissions will only be paid when the buyer makes a purchase using your Affiliate link.

SBL will make every reasonable effort to track and pay commissions for all sales that belong to or are credited to Affiliate.  SBL is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily interfere with, disrupt or diminish tracking or service.

USE OF MATERIALS

SBL grants you the right to use SBL provided graphic images and text solely for identifying your site as a program participant and to generate sales.  SBL reserves the rights to our trademarks and service marks and copyrights, although they may be used by you in accordance with this agreement.  You may use no other image for your Affiliate link other than those provided by SBL.  

You agree to only present SBL and SBL's products and services as set forth in the official SBL web site or SBL's marketing materials.  You will make no claims regarding potential income, earnings, products, or services beyond what is stated at the SBL's Website.  You also agree not to reproduce commission or distribute commission checks in any form or by any means.

You agree not to disparage SBL, SBL's products or services or other SBL Affiliates in any manner.  You understand that disparagement may result in the immediate suspension or termination of your account with a cancellation of any pending commissions.

ORDER PROCESSING, POLICIES AND PRICING

SBL is solely responsible for handling all customer inquiries, fulfilling product orders, customer billing and collection of monies.

Pricing of products and services is solely within SBL's discretion and SBL reserves the right to change the pricing structure, terminate special offers, discontinue products or services, or change the terms under which products or services are offered at any time, without advance notice to you.

Our only responsibility to you in this regard is to track customer orders that occur through links from your web site and make reports of the commissions due as a result thereof.  All such reports shall be un-audited.

CUSTOMER PRIVACY

To protect customer privacy, under SBL's Privacy Policy, SBL reserves the right to withhold identifying customer contact information to you.  SBL has no obligation to provide you with any specific information for any customer, regardless of whether said customer arrived at the SBL's web site through your Affiliate Link.

PAY PER CLICK ADVERTISING

We do NOT allow any brand name / Trademark bidding (Saddleback Leather) or Trademark + bidding (Saddleback Leather Coupon). Some examples of prohibited keywords:

  • "SaddlebackLeather"
  • "saddlebackleather.com"
  • "www.saddlebackleather.com"
  • "saddleback leather"
  • "Saddleback Leather coupon"
  • "Saddleback Leather review"

You are prohibited from bidding on any Saddleback Leather KEYWORD (example: coupon, etc.) terms on any PPC search engine. When setting up the display advertisement in a PPC campaign, it is not permitted to use the display URL "www.saddlebackleather.com" or "saddlebackleather.com", and ad text in a display ad may not contain the "Saddleback Leather" trademark. We do NOT allow direct linking from PPC campaigns.

Any use of the above items will result in an immediate forfeiture of commissions.

SPAM PROHIBITED

Affiliate agrees to comply with all U.S. State and Federal spam laws, including but not limited to the Federal CAN-SPAM Act.

SBL has zero tolerance toward any Affiliates associated with spam.  The accounts of the Affiliates associated with spam are immediately terminated as soon as the violation is verified, with a cancellation of any pending monies or commissions owed.  SBL will immediately terminate any Affiliate account which it believes, in its sole discretion, is transmitting or is otherwise connected with any spam or other unsolicited bulk e-mail. 

For the purpose of this agreement, SPAM is defined as e-mailing ANYONE, in bulk or by single mailing, about SBL, SBL products or services, who has not specifically requested the information directly from the Affiliate.  Any advertisement posted to a Newsgroup or chat room that is in violation of their posting rules in considered to be SPAM.

PROHIBITED WEBSITES

SBL solely reserves the right at its discretion to approve all websites, email campaigns, videos, promotions, and any other mediums in which your Affiliate link appears.

You agree not to misrepresent SBL products or services and not to advertise SBL products or services on websites that promote sexually explicit material, violence, or sites that promote discrimination based on race, sex, religion, national origin, or physical disability.

SBL reserves the right to terminate your affiliate status for any reason in our sole and absolute discretion, including but not limited to the reasons set forth herein.

AMMENDMENTS TO AGREEMENT

SBL reserves the right to amend this agreement as needed, and you agree that any and all such amendments will apply to you.  The continuation of your status, promoting or marketing SBL, SBL products or services, or your acceptance of income, shall constitute your acceptance of any and all amendments.  You agree to review this agreement for any changes at the beginning of each affiliate payout cycle.  The date of the last change or addition to this agreement is posted at the end of this document.

DISCLAIMERS

SBL makes no representations or warranties whatsoever, regarding potential income that may result from participation in our Affiliate Program and SBL specifically disclaims any and all warranties in regards to your earning potential.

LIMITATIONS OF LIABILITY

SBL shall not be held liable for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this Agreement or program, even where SBL has been advised of the possibility of such damages.  SBL's total liability arising from this agreement or program shall not exceed the total commissions paid or payable by SBL.

The Company obligations and Affiliate remedies are solely and exclusively as described and limited in this agreement and if applicable, on the Company's web site affiliate information.  Company liability, whether based on contract, tort, warranty, strict liability, or other legal claim, shall not exceed the price of the individual goods, products, services or commission owed, whose alleged defect or damage is the basis of the claim.  In no event shall Company be liable for any loss of profits, loss of used, or other indirect, incidental, or consequential damage to Affiliate.

LEGAL AUTHORITY

SBL'S location is on the web site and as an Affiliate you agree that this offering is made from the SBL's location and shall be governed by the laws of Texas, U.S.A.

This agreement shall be governed by in accordance with the laws of Texas, U.S.A, without regard to its conflict of laws rules.  Any legal action arising out of this Agreement shall be litigated and enforced under the laws of Texas, U.S.A.  In addition, you agree to submit to the jurisdiction of the courts of Texas, U.S.A., and that any legal action pursued by you shall be within the exclusive jurisdiction of the courts of San Antonio, Texas, U.S.A.
